Work highlights 

Represented FEI Company, Taiwan branch in a wrongful termination and compensation lawsuit brought by a former employee. 

Assisted Naval Group to set up a branch in Taiwan and obtain the visa for the foreign manager of the Taiwan branch. 

Assisted Taobao to set up a branch office in Taiwan and constantly advised them on employment-related matters.

Work highlights 

Represented Micron Technology and Micron Memory Taiwan to defend the appeal filed by United Microelectronics Corporation (UMC) against the Taichung District Court’s criminal court decision finding UMC to be criminally liable for misappropriation of Micron’s trade secrets. 

Represented FocalTech to defend a patent infringement lawsuit filed by Novatek Microelectronics which alleges that the TDDI chips produced and sold by FocalTech infringed upon its five Taiwan patents. The firm successfully convinced the Court (1st instance) to dismiss the case on the ground of non-infringement. 

Successfully represented Apple in a patent infringement lawsuit filed by Genesis Photonics which alleges that the mini-LED chips equipped in iPads infringed upon its three Taiwan patents.

Dispute resolution

Work highlights 

Represented LCY Chemical in a dozen civil lawsuits arising from a gas explosions accident. 

Assists an Italian manufacturer to deal with an ICC arbitration with seat in Paris for disputes relating to certain Taiwanese banks’ assertion of subrogation rights with regard to the client’s contractual arrangements with a Taiwanese buyer for manufacturing and supply of certain goods and transfer of technology.   

Represented the 11 co-insurers to file a civil litigation of a subrogation claim before Taoyuan District Court against Thai manufacturer and Taiwan supplier of the defective power transformer to claim for monetary damages.

Work highlights 

Served as the Taiwan legal counsel of Nippon Steel Corporation for its acquisition of shares of Nippon Steel Trading Corporation.   

Assisted Archroma in setting up a Taiwan branch to facilitate the purchase of the business and assets from the Huntsman entity of Taiwan.

Work highlights 

Advised GOGOX Holdings, a logistics startup operating GOGOX and Fast Dog Taxi brands, on Taiwan-related matters for its IPO application to the Hong Kong Stock Exchange. 

Advised Onewo Space-Tech Service on its spin-off listing on the Hong Kong Stock Exchange. 

Advised a Hong Kong listing company, Lai Sun Development Company on its rights issue to raise the fund up to $101.5 million.

Work highlights 

Advised IHS Markit on its acquisition by S&P Global. 

Assisted Itochu, POSCO and CSC to obtain merger clearance in Taiwan for their joint operation of a brownfield. 

Representing TTY Biopharm Company, a well-known local pharmaceutical company, to appeal the Taiwan Free Trade Commission’s cartel decision to Taipei High Administrative Court. 

Banking and finance

Work highlights 

Advising the financial institutions in post-project financing on the U$2 billion project financing of Macquarie Capital, Swancor and JERA’s 376MW Formosa 2 offshore wind project. 

Assisting the lenders and hedging banks, including Sumitomo Mitsui Banking Corporation, BNP Paribas, Australia and New Zealand Banking Group and E.Sun Commercial Bank, in closing the project financing and refinancing in the 188MW of solar portfolio in Taiwan. 

Assisted the syndicated lenders in a financing project for a going private transaction launched by Baring PE Fund and the major shareholders for Ginko International, a company listed on the Taiwan Stock Exchange.

Work highlights  

Acting for Allianz on the renewal of a bancassurance agreement with HSBC, which includes reviewing the term sheet, master and local distributorship agreement and providing regulatory advice. 

Advising Booking.com on general corporate matters for its operation in Taiwan, including the data privacy protection, consumer complaint, and tax exemption application under the applicable tax treaties.
