Jong-Han Oh of Shin & Kim is our July lawyer of the month for his lead role in advising SK Hynix on its record-breaking $26.5 billion public offering and listing of 177.9 million American Depositary Shares on the Nasdaq Global Select Market. The offering is the largest-ever US IPO by an Asian issuer, surpassing Alibaba’s $25 billion listing in 2014. It is also the largest ADS offering in history and one of the largest global equity offerings on record.
SK Hynix is a leading supplier of high-bandwidth memory chips used in artificial intelligence systems by major technology companies. The company intends to use the proceeds to finance semiconductor manufacturing facilities in South Korea and acquire advanced chipmaking equipment.
As the managing partner of Shin & Kim, Oh has more than three decades of experience in securities, finance, corporate litigation and dispute resolution. Since joining the firm in 1989, he has represented major domestic and international corporations in complex disputes involving securities transactions, financial products, M&A and corporate control.
Oh’s notable experience includes successfully representing Samsung Group in litigation concerning approximately $3.4 billion (KRW 5 trillion) in commitments owed by Samsung Motors’ creditors. He also advised on Korea’s first hostile takeover dispute, involving the management control of Hanwha Merchant Bank, and has handled numerous shareholder, management control and corporate governance disputes involving listed companies.
His financial services practice includes representing banks, securities firms and asset management companies in regulatory investigations and disputes concerning fund sales, internal control systems, private equity investments and asset-backed commercial paper. He has also acted in significant damages claims involving TP Fund and Lime Trade Finance Fund, shareholder litigation relating to derivative transactions, and cross-border disputes involving Chinese companies.
