Jay Gandhi of Shardul Amarchand Mangaldas & Co is our January lawyer of the month for steering Brookfield India Real Estate Trust’s (BIRET) record-setting $1.5 billion acquisition of Arliga Ecoworld Business Parks, the largest transaction involving an Indian real-estate trust to date. The deal was funded in part by BIRET’s third qualified institutional placement, which raised ₹35 billion ($390 million) in December 2025, cementing Brookfield’s dominance in the country’s rent-yielding office-park segment.
As a partner based in the firm’s Mumbai office, Gandhi specialises in M&A, private equity, joint ventures and investment funds, with extensive experience across cross-border and domestic transactions. For over 15 years, he has advised international and domestic private equity funds, financial institutions, multinational corporations and Indian business houses on complex M&A deals, leveraged buyouts and fund formations. His notable work includes advising the K Raheja Group on the sponsorship and listing of the Mindspace Business Parks REIT, a ₹4,500 crore ($493 million) offering encompassing over 23 million square feet of office assets. He also represented the Brookfield Group on its ₹4,100 crore ($449 million) acquisition of Leela-branded hospitality assets, one of India’s largest hospitality sector transactions.
Gandhi also regularly structures and launches alternative-investment funds, InvITs, REITs and India-dedicated offshore funds, negotiating both GP and LP documentation while navigating the country’s evolving pooling-vehicle regulations.
