Advised unlisted Sumitomo Chemical India on its reverse merger with listed company Excel Crop Care (ECC). Post-merger, the client was required to issue and allot shares to the shareholders of ECC, in accordance with the share exchange ratio provided under the scheme of merger. After, the shares of SCIL would be listed on the Bombay Stock Exchange and the National Stock Exchange. The significance this matter is that reverse mergers are not common in India, where the last notable reverse merger in India occurred in 2001.
