Work highlights 

Advised TSC Auto ID, a Taipei Exchange-listed Taiwan company, on acquiring 96.54% of Korea-based Bluebird's common shares from majority shareholders (namely H Private Equity and an individual member from the management team) and certain minority shareholders, with a subsequent arrangement to acquire up to 100% from the remaining minority shareholders. 

Corporate and M&A

Work highlights 

Advised Ørsted on divesting 50% of the 582MW Greater Changhua NW Offshore Wind Farm to local life insurer Cathay Life by selling 50% of the share equity in Greater Changhua NW Holdings to Cathay Wind Power, a holding company of Cathay Life (as a 99% shareholder) and its affiliate (Cathay Power, as a 1% shareholder). 

Advised Yahoo! Taiwan Holdings on the sale of $25 million convertible bond to Uni-President Enterprises Corp's subsidiary Cayman President Holdings. 

Capital markets

Work highlights 

Advised Hon Hai Precision Industry on issuing $700 million zero-coupon convertible bonds due in 2029. 

Advised Nanshan Life on issuing $700 million at 5.45% in tier 2 subordinated dated capital bonds due 2034 irrevocably and unconditionally guaranteed by Nan Shan Life Insurance. 

Banking and finance

Work highlights 

Acted as the lead counsel to Far Eastern International Bank in respect of the laws of Taiwan and coordinated with offshore counsel. This equity financing transaction was legally innovative in light of its tight timeline and complex financing terms and structure, which involved cross-border collateral arrangements and financing conditions. 

Acted as the Taiwan counsel to the syndicated finance parties, advising on various issues in relation to the financing structure and coordinating with the foreign counsels regarding the creation of security interest, as well as issuing legal opinions and assisting in conditions precedent and conditions subsequent works.
