Mr. Xiangwen Liu is a senior partner at Zhong Lun Law Firm and the Head of the firm’s Regulatory Compliance Department. Mr. Liu concentrates his practice on litigation & arbitration and regulatory compliance.

Mr. Liu has handled more than one thousand domestic/international dispute resolution cases, including Danone v. Wahaha, Vanke v. Baoneng Group, and Sany vs Zoomlion. Mr. Liu has helped clients to respond to legal proceedings before all levels of courts in China and courts in dozens of other jurisdictions including the United States, Germany, Canada, Singapore, BVI, and Republic of Congo. He also has extensive experience representing clients in prominent arbitral tribunals including the Arbitration Institute of the Stockholm Chamber of Commerce, the Hong Kong International Arbitration Center, the International Court of Arbitration of the International Chamber of Commerce, the American Arbitration Association, and the China International Economic and Trade Arbitration Commission.

Mr. Liu is very experienced in regulatory compliance and as the leading partner, has developed compliance programs for more than 30 Chinese central enterprises, large state-owned enterprises, private enterprises and multi-national enterprises, including Sinochem Holdings, State Development and Investment Corporation, China Certification & Inspection Group, State Power Investment Corporation, China Minmetals Corporation, Aviation Industry Corporation of China, China Three Gorges Corporation, Mengniu Diary. Mr. Liu has also assisted many Chinese companies to respond to US government’s and multilateral development banks’ investigations and sanctions, and has conducted internal investigations for more than 20 multinational corporations in China.

Mr. Liu was a joint tutor for postgraduates of Tsinghua University, a member of the International Association of Defense Counsel (IADC), a member of the International Bar Association (IBA), a member of the Inter-Pacific Bar Association (IPBA), a member of the All China Lawyers Association, a member of China Law Society, and a member of the Consumer Protection Law Association of China Law Society.

Mr. Liu was awarded Top Ten Lawyers Who Studied Abroad And Practice In Beijing. Because of his outstanding performance in cross-border dispute resolution and major commercial disputes, Mr. Liu has been widely recommended and highly recognized by international legal rating agencies including Legal Band, Benchmark Litigation, Chambers, and The Legal 500. Mr. Liu was selected as the Leading Lawyer for Handling Foreign-Related Affairs by Ministry of Justice of P.R. China and the Leading Lawyer for Cross-border Belt and Road Projects by Chinese Bar Association, and led and participated in writing Legal Environment Report of the “Belt and Road” Countries. Mr. Liu currently serves as the legal counsel for Ministry of Justice of P.R. China on international affairs.

Mr. Liu has practiced as a lawyer since January 2005. He was a senior partner and council member of the Beijing headquarter of King & Wood Mallesons. He Joined Zhong Lun Law Firm in July 2016 and is currently the senior partner of the firm's Beijing headquarter. During his work as a lawyer, he participated in the writing of Practical Guide for the Construction of a Comprehensive Compliance System for Chinese Enterprises, Planning and Response to Corporate Litigation, China Anti-Commercial Bribery Guide (Chinese and English versions), Medicine and Law--China's Pharmaceutical and Health Industry Legal Service and Practice Guide and many other legal works.

From 1997 to the end of 2004, Mr. Liu served on the Legislative Affairs Commission of the Standing Committee of the National People’s Congress, where he was mainly engaged in legislative study. He participated in the legislative studies in many areas of law including the Trust Law, the Company Law, and the Securities Law. In addition, he participated in the translation and editing of many legal works including Laws and Regulations of the People's Republic of China (English Edition) Volume 1979-2004, Guide to China Securities Law, Introduction to Hong Kong Basic Law, and Privacy Law of the United States.

  • Assisted China Certification & Inspection Group to establish a comprehensive compliance system in accordance with the standards of TIC Council and State-owned Assets Supervision and Administration Commission of the State Council of P.R. China, approved by the external audit agency RSM and the board of TIC Council, and to successfully become an official member of TIC Council
  • Assisted a large-scale hydropower construction company in China to respond to World Bank investigations on potential fraudulent and corruptive practices, including conducting internal investigations, submitting defenses, negotiating over settlements, and helped the client to bring down the sanction period from the baseline 9 years to 2 years, and helped develop a comprehensive compliance program for the client according to World Bank Group’s compliance requirements
  • As the leading partner, represented Lovol Heavy Industry Corporation as the defendant in the historic first consumer public interest class action lawsuit in China, instituted by China Consumers Association, helped deal with the business crisis caused by professional counterfeiter claims and governmental supervisions, and provided crisis management and compliance consulting services throughout the whole process
  • Acted as one of the chief partners in charge of the Danone v. Wahaha series of cases on joint venture disputes (the largest joint venture and corporate control dispute since the founding of P.R. China), which caused wide attention domestically and internationally, including more than 50 domestic and international litigation and arbitration cases within 7 countries and regions. (The total disputed res of the cases is approximately USD 5 billion.)
  • Acted as the counsel for Hitachi Construction Machinery (a world leading Engineering Machinery manufacturing enterprise) for 12 consecutive years and the leading counsel on a series of cases, and dealt with a group petition incident at the Commission for Discipline Inspection of the Central Committee of the CPC, the State Bureau for Letters and Calls, and the Administration of Quality Supervision, Inspection and Quarantine, and dealt with more than 20 machine quality litigation cases across P.R. China
