ZBA is a boutique firm best known for its shipping, dispute resolution and debt capital markets capabilities. The firm specialises in complex commercial disputes, with a focus on maritime law. It works with owners, offshore contractors, banks, mortgagees, charterers, cargo underwriters, insurers and re-insurers, protection and indemnity clubs, shipyards, commodity traders and financial investors. Managing partner Zarir Bharucha is the respected figure for shipping disputes. He is often nominated as an arbitrator for shipping-related arbitrations in the London Court of International Arbitration (LCIA) and he is a member of the maritime sub-committee of the IBA. Represented India Railways Finance Corporation on an updating its $2 billion Euro Medium Term Note Programme (MTNP) to a Global MTNP.  

Acted for the arrangers and dealers, including Axis Bank and Barclays Bank, in relation to the IFRC issuance and drawdown of notes in the US securities market.  

Advised Bharat Petroleum Corporation on its shelf disclosure document and non-convertible debenture issue.

Advised JBIC and other lenders on its $1 billion loan to State Bank of India to foster the development of the auto manufacturing and dealing industry in India.  

Acted for borrower India Railway Finance Corporation on its $300 million loan from State Bank of India.  

Represented lender MUFG Bank Singapore on its $75 million loan to Bajaj Finance.

Work highlights 

Representing Hong Kong company Best Excellence Corporation as the owner of the vessel MV Silvia Glory, which was arrested after three suits were filed against it in Gujarat’s high court. The charges surrounded unpaid bunker dues and claims arising out of the charter party agreement.  

Acted for ship management company Key Ship Management & Consultants in its charge against Symex Maritime for unpaid invoices and to assist in the arrest of the respondent’s vessel. This was one of the first cases in the Bombay High Court where an application for summary judgment was moved under the newly amended provisions of the Commercial Courts Act.
